These Terms and Conditions (the “Terms”) govern the relationship between Makanti and Independent Distributors, Affiliates, or Representatives (hereinafter referred to as "Members"). By signing up and participating in the Makanti Direct Selling program, you agree to these Terms. Please read them carefully.

Agreement

• By becoming a Member of Makanti, you agree to these Terms and Conditions, the Company’s Privacy Policy, and any additional policies or guidelines that the Company may publish on its website from time to time.
• Members are independent contractors and not employees, agents, or legal representatives of Makanti. Members are responsible for their own compliance with local laws, including tax obligations.

Eligibility

• You must be at least 18 years old to participate in the Makanti DIECT SELLINGprogram.
• Members must provide accurate and complete information during registration, including full name, address, and other relevant personal data. Providing false or misleading information may result in termination of your account.

Member Responsibilities

• Compliance with Laws: Members must comply with all applicable laws, regulations, and ordinances related to network marketing and direct selling, including but not limited to anti-pyramid scheme laws.
• Marketing Practices: Members are prohibited from making false, deceptive, Over promising or misleading claims about Makanti’s products, services, or the DIECT SELLINGprogram. All representations about potential earnings must be truthful and based on actual results.
• Sales and Distribution: Members are responsible for the sale and promotion of Makanti’s products and services. All products must be sold at the prices listed by the Company, and unauthorized resale is strictly prohibited.

Prohibited Conduct

• Unethical Practices: Members must not engage in practices such as "spamming," false advertising, over promising or pressuring potential recruits into joining the Direct Selling program.
• Sensitive Content: Members are prohibited from using or sharing content that involves sexually explicit, racially discriminatory, political, or religious material in connection with the promotion of Makanti’s products or business opportunity.
• Cross-Recruiting: Members are not allowed to recruit or solicit other Members to join another Direct Selling company while participating in Makanti’s program.

Compensation and Earnings

• Commission Structure: Members are compensated through a direct selling multi-level marketing commission structure. Earnings are based on personal sales and the team sales generated by their downline (the team of individuals they recruit).
• No Guaranteed Income: Makanti’s does not guarantee any specific level of income or success. Earnings depend on each Member’s personal efforts, sales volume, and team-building abilities.
• Commission Payouts: Commissions will be paid out according to the Company’s payment schedule, which is posted on the website. Members must maintain an active status and meet the minimum sales or activity requirements to be eligible for commissions.
• In rare cases, and in certain cases, and for the safety of members and the company sustainability, the comission payout could be capped to the maximum percentage which secure members and company sustainability and continuety. In this cases, the commission payout could be reduced to the max level of security. In such case, there is no liability on the company and reduction wont be compensated.

Membership Termination

• Voluntary Termination: Members may terminate their participation in the direct selling program at any time by providing written notice to Makanti.
• Involuntary Termination: Makanti’s reserves the right to terminate a Member's account for breach of these Terms, including but not limited to engaging in unethical or illegal practices, providing false information, or failing to meet performance standards.
• Effect of Termination: Upon termination, the Member’s access to the direct selling program, commission payouts, and downline management tools will be revoked. Any outstanding commissions owed to the Member will be forfeited.

Refund and Return Policy

• Product Returns: Members may return products to Makanti under the return and refund policy posted on the Company’s website. Returns must be initiated within the specified return period and must comply with the Company’s product return procedures.
• Membership Fees: Membership fees, are non-refundable unless otherwise specified in the Company’s refund policy.

Intellectual Property

• Use of Company Materials: Makanti grants Members a non-exclusive, revocable license to use its logos, trademarks, and marketing materials solely for the purpose of promoting Makanti’s products and services.
• Restrictions: Members are prohibited from altering, misusing, or using the Company’s intellectual property for personal gain outside the scope of the direct selling program.

Confidentiality

• Confidential Information: Members may have access to confidential information, including but not limited to customer lists, pricing information, and the Company’s proprietary strategies. Members agree not to disclose this information to third parties without the Company’s written consent.
• Non-Compete: Members agree not to engage in any activities that would directly compete with Makanti’s business during their membership and for 2 years after termination.

Limitation of Liability

• Makanti’s is not responsible for any indirect, special, incidental, or consequential damages resulting from the use of its products, services, or participation in the direct selling program.
• Members agree that the total liability of Makanti’s for any claim arising from these Terms shall not exceed up to 1000$ one thousands dollars.

Modifications to the Program

• Program Changes: Makanti reserves the right to modify, suspend, or terminate the Direct Selling program, including its compensation/Reward structure, at any time with reasonable notice to Members.
• Terms Revisions: Makanti may update these Terms from time to time. Continued participation in the Direct Selling program constitutes acceptance of the revised Terms.

Dispute Resolution

• Governing Law: These Terms are governed by the laws of UAE
• Arbitration: Any disputes arising under these Terms will be resolved through binding arbitration in UAE, in accordance with the rules of the UAE Court. Members agree to waive their right to a court trial or class action.

Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between the Member and Makanti with respect to the direct selling program and supersede any prior agreements or understandings.
• By joining the Makanti direct selling program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
